1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or an entity, "you" or "User") and OPSONIS ("we," "our," or "us") concerning your access to and use of the OPSONIS platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the service.

2. Description of Services

OPSONIS provides AI-powered process mining and business process intelligence software as a service (SaaS), including but not limited to:

• Process discovery and visualization (Directly-Follows Graphs)
• AI-powered insights and recommendations using Claude 3.5 Sonnet
• Process analytics and performance metrics
• Bottleneck detection and optimization suggestions
• Process comparison and variant analysis
• Export and reporting capabilities
• Team collaboration features

3. User Accounts

3.1 Account Creation

To use OPSONIS, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Requirements

You must be at least 16 years old to use OPSONIS. By creating an account, you represent that you meet this requirement and have the authority to enter into these Terms.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription Plans and Billing

4.1 Subscription Tiers

OPSONIS offers multiple subscription tiers (Starter, Professional, Enterprise) with different features and pricing. Full details are available on our pricing page.

4.2 Free Trial

We offer a 14-day free trial for new users. No credit card is required to start the trial. Your trial will automatically expire after 14 days unless you subscribe to a paid plan.

4.3 Billing

• Subscriptions are billed monthly or annually in advance
• Payments are processed securely through Stripe
• All fees are in Euros (€) unless otherwise stated
• Fees are non-refundable except as required by law or our refund policy
• We reserve the right to change prices with 30 days notice

4.4 Refund Policy

We offer a 30-day money-back guarantee. If you're not satisfied within the first 30 days of your paid subscription, contact us for a full refund.

4.5 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. You will retain access until the end of your paid period.

5. Acceptable Use Policy

5.1 Permitted Use

You may use OPSONIS only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Upload malicious code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or servers
• Use automated systems (bots, scrapers) without permission
• Reverse engineer, decompile, or disassemble the software
• Resell or redistribute our services without authorization
• Use the service to compete with OPSONIS
• Share your account credentials with others

6. User Data and Content

6.1 Your Data

You retain all rights to the process data and content you upload to OPSONIS ("User Data"). You grant us a limited license to process, store, and analyze your User Data solely to provide our services.

6.2 Data Responsibility

You are responsible for:

• The accuracy and legality of your User Data
• Ensuring you have the right to upload and process the data
• Complying with data protection laws (GDPR, etc.)
• Maintaining backups of your original data

6.3 AI Processing

By using AI-powered features, you consent to your process data being sent to Anthropic's Claude API for analysis. Anthropic does not store or train on your data. See our Privacy Policy for details.

6.4 Data Deletion

Upon account termination or deletion request, we will delete your User Data within 90 days, except where retention is required by law.

7. Intellectual Property

7.1 OPSONIS IP

The OPSONIS platform, including its software, design, features, and content, is owned by OPSONIS and protected by copyright, trademark, and other intellectual property laws.

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use OPSONIS for your internal business purposes, subject to these Terms.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about OPSONIS become our property, and we may use them without obligation to you.

8. Service Level and Uptime

8.1 Availability

We strive to maintain 99.9% uptime for paid plans (excluding scheduled maintenance). Enterprise plans include an SLA with specific uptime guarantees.

8.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.

8.3 No Warranty

OPSONIS is provided "as is" without warranties of any kind, express or implied. We do not guarantee that the service will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

To the maximum extent permitted by law:

• OPSONIS shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim
• We are not liable for loss of data, profits, revenue, or business opportunities
• We are not responsible for third-party services or content

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless OPSONIS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Data

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the use of services. This includes:

• Your process data and business information
• Our proprietary algorithms and methodologies
• Pricing information (for custom Enterprise contracts)
• Any information marked as confidential

12. Beta Features

Beta users and beta features are provided for testing and feedback purposes. Beta features:

• May be unstable or incomplete
• Are provided "as is" without warranty
• May be modified or discontinued at any time
• May require separate agreements or terms

13. Modifications to Service

We reserve the right to:

• Modify or discontinue the service (or any part) at any time
• Change features, functionality, or capacity limits
• Update these Terms with reasonable notice

Continued use of the service after changes constitutes acceptance of the new Terms.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of Romania and the European Union, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

1. Good faith negotiations between the parties
2. Mediation (if negotiations fail)
3. Arbitration or court proceedings in Bucharest, Romania

14.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or representative proceedings.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OPSONIS.

15.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in effect.

15.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of that right.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

15.5 Force Majeure

Neither party is liable for failure to perform due to causes beyond reasonable control (natural disasters, war, strikes, internet outages, etc.).
